Welcome to idaGROW! We're excited to showcase Idaho's makers, artists, and small businesses. By applying for or operating a seller account on idaGROW, you agree to the following Seller Agreement.

1. Purpose

idaGROW is an online marketplace that connects customers with independent Idaho businesses. While idaGROW provides the platform for sellers to reach customers, each seller operates as an independent business and is responsible for their own products, services, and customer interactions.

2. Seller Eligibility

To sell on idaGROW, you must:

* Operate a legitimate business with a meaningful connection to the State of Idaho.
* Provide accurate and complete registration information.
* Be legally authorized to sell your products.
* Comply with all applicable local, state, and federal laws.

idaGROW reserves the right to approve or deny any seller application at its sole discretion.

3. Marketplace Standards

idaGROW is a curated marketplace. Our goal is to provide customers with a trusted destination for quality Idaho businesses.

Products listed on idaGROW should be:

* Handmade by the seller;
* Designed by the seller;
* Produced by the seller's small business; or
* Otherwise approved by idaGROW.

Mass-produced, counterfeit, misleading, or unauthorized products may be removed without notice.

4. Seller Responsibilities

As a seller, you agree to:

* Maintain accurate product descriptions.
* Use truthful photographs.
* Clearly disclose materials, sizing, and relevant product details.
* Keep inventory current.
* Fulfill and ship orders within the processing time communicated to the customer.
* Respond professionally to customer inquiries.
* Resolve customer issues in a timely manner.
* Honor prices shown at the time of purchase.

5. Product Quality

Sellers are responsible for the quality and safety of every item they sell.

Products must match their descriptions and photographs. Repeated complaints regarding quality, inaccurate listings, or poor customer service may result in account suspension or removal.

6. Orders & Fulfillment

Unless otherwise stated:

• Sellers are responsible for packaging and shipping their own orders.
• Sellers must ship within the handling time displayed on their listings.
• Sellers are responsible for providing accurate tracking information when applicable.
• Sellers are responsible for ensuring products are packaged appropriately for safe delivery.

At launch, idaGROW uses a shipping-inclusive pricing model. Sellers are responsible for setting product prices that reasonably account for their anticipated packaging, postage, insurance, and other shipping-related expenses.

Actual fulfillment costs may vary depending on destination, package size, weight, and the number of products included in an order. Sellers are responsible for setting prices that appropriately account for these variations and for covering the actual cost of fulfilling their orders.

idaGROW may introduce additional or alternative shipping options as marketplace capabilities evolve. Sellers will be notified of material changes affecting their shipping responsibilities.

7. Returns & Customer Service

Sellers are expected to maintain fair and reasonable return policies consistent with idaGROW's marketplace policies.

Customers should first contact the seller regarding returns, exchanges, damaged items, or fulfillment issues.

If a refund, cancellation, chargeback, or other adjustment occurs before the seller has been paid, the applicable amount may be deducted from the seller's upcoming payout.

If the seller has already received payment for the affected transaction, idaGROW may deduct the applicable amount from a future payout or request repayment from the seller.

If a dispute cannot be resolved between the seller and customer, idaGROW may review the matter and take appropriate action to protect the customer, seller, and integrity of the marketplace.

8. Fees & Payments

idaGROW retains a 10% marketplace commission on product sales.

There are no monthly seller fees, listing fees, or additional payment-processing fees charged to sellers by idaGROW unless otherwise disclosed and agreed to.

Seller proceeds are processed for payout twice monthly, subject to fulfillment status, refunds, cancellations, chargebacks, payment availability, and other applicable adjustments.

At launch, seller payouts will generally be issued by business check and mailed to the seller's legal/payee name and mailing address on file. Sellers are responsible for keeping this information accurate and current.

Each payout will include or be associated with a statement showing the applicable sales, idaGROW commission, adjustments, and final payout amount.

The date a payout is processed does not guarantee the date a check will be delivered, deposited, or made available by the seller's financial institution.

idaGROW may introduce additional electronic or alternative payout methods in the future. Sellers will be notified of material changes to the payout process.

9. Intellectual Property

Sellers retain ownership of their:

* Business name
* Logos
* Product photographs
* Product descriptions
* Original designs

By listing products on idaGROW, sellers grant idaGROW a non-exclusive, royalty-free license to display, reproduce, and use this content for the purpose of:

* Operating the marketplace
* Promoting listed products
* Marketing idaGROW
* Advertising on social media and other platforms

This license ends when content is removed from the marketplace, except where previously used in marketing materials.

10. Prohibited Products

Sellers may not list products that:

* Violate copyright, trademark, or patent laws.
* Are counterfeit or fraudulent.
* Are illegal under applicable law.
* Promote hate, violence, or discrimination.
* Contain deceptive or misleading claims.
* Infringe upon another person's intellectual property.

idaGROW may remove prohibited listings without prior notice.

11. Account Suspension or Termination

idaGROW reserves the right to suspend or terminate seller accounts for reasons including, but not limited to:

* Fraudulent activity
* Misrepresentation
* Repeated customer complaints
* Failure to fulfill orders
* Violation of this Agreement
* Conduct that damages the reputation of idaGROW or its community

12. Independent Business Relationship

Sellers are independent businesses.

Nothing in this Agreement creates an employment, partnership, franchise, joint venture, or agency relationship between idaGROW and any seller.

13. Taxes & Legal Compliance

Sellers are independent businesses and are responsible for complying with all applicable federal, state, and local tax laws, licensing requirements, permits, and business regulations relating to their products and sales.

Sellers may be required to provide idaGROW with a completed Form W-9 or other applicable tax documentation before receiving payouts.

Sellers are responsible for maintaining accurate tax and business information with idaGROW and for reporting and paying taxes for which they are legally responsible.

idaGROW will comply with tax collection, remittance, withholding, and information-reporting requirements applicable to the marketplace.

14. Payout Holds & Adjustments

idaGROW may temporarily delay or withhold amounts reasonably necessary to address pending refunds, cancellations, customer disputes, chargebacks, suspected fraud, unfulfilled orders, violations of marketplace policies, or other amounts properly owed by the seller.

Where possible, adjustments will be reflected on the seller's payout statement.

Any amounts legitimately owed between the seller and idaGROW remain payable following suspension or termination of a seller account.

15. Limitation of Liability

idaGROW provides the marketplace platform but does not manufacture, inspect, or guarantee products offered by independent sellers.

To the fullest extent permitted by law, idaGROW shall not be liable for damages arising from transactions between buyers and sellers.

16. Changes to this Agreement

idaGROW may update this Seller Agreement periodically as the marketplace grows and its services, technology, shipping systems, payout methods, or operational procedures evolve.

Material changes affecting seller fees, payouts, shipping responsibilities, or other significant seller obligations will be communicated with reasonable notice when practicable.

Continued use of the marketplace following the effective date of an updated Agreement constitutes acceptance of the revised Agreement.
