Welcome to idaGROW! We're excited to showcase Idaho's makers, artists, and small businesses. By applying for or operating a seller account on idaGROW, you agree to the following Seller Agreement.
## 1. Purpose
IdaGROW is an online marketplace that connects customers with independent Idaho businesses. While idaGROW provides the platform for sellers to reach customers, each seller operates as an independent business and is responsible for their own products, services, and customer interactions.
## 2. Seller Eligibility
To sell on idaGROW, you must:
* Operate a legitimate business with a meaningful connection to the State of Idaho.
* Provide accurate and complete registration information.
* Be legally authorized to sell your products.
* Comply with all applicable local, state, and federal laws.
IdaGrow reserves the right to approve or deny any seller application at its sole discretion.
## 3. Marketplace Standards
IdaGROW is a curated marketplace. Our goal is to provide customers with a trusted destination for quality Idaho businesses.
Products listed on idaGROW should be:
* Handmade by the seller;
* Designed by the seller;
* Produced by the seller's small business; or
* Otherwise approved by idaGROW.
Mass-produced, counterfeit, misleading, or unauthorized products may be removed without notice.
## 4. Seller Responsibilities
As a seller, you agree to:
* Maintain accurate product descriptions.
* Use truthful photographs.
* Clearly disclose materials, sizing, and relevant product details.
* Keep inventory current.
* Ship orders promptly.
* Respond professionally to customer inquiries.
* Resolve customer issues in a timely manner.
* Honor prices shown at the time of purchase.
## 5. Product Quality
Sellers are responsible for the quality and safety of every item they sell.
Products must match their descriptions and photographs. Repeated complaints regarding quality, inaccurate listings, or poor customer service may result in account suspension or removal.
## 6. Orders & Fulfillment
Unless otherwise stated:
* Sellers are responsible for packaging and shipping their own orders.
* Sellers must ship within the handling time displayed on their listings.
* Sellers are responsible for providing tracking information when applicable.
## 7. Returns & Customer Service
Sellers are expected to maintain fair and reasonable return policies.
Customers should first contact the seller regarding returns, exchanges, damaged items, or shipping issues.
If a dispute cannot be resolved, idaGROW may review the matter and take appropriate action to protect the integrity of the marketplace.
## 8. Fees & Payments
Sellers agree to the marketplace commission (10% per sale) and payment processing fees in effect at the time of sale.
IdaGROW reserves the right to modify marketplace fees with reasonable notice.
Payments will be distributed according to the payment schedule established by idaGROW and its payment processor.
## 9. Intellectual Property
Sellers retain ownership of their:
* Business name
* Logos
* Product photographs
* Product descriptions
* Original designs
By listing products on IdaGrow, sellers grant idaGROW a non-exclusive, royalty-free license to display, reproduce, and use this content for the purpose of:
* Operating the marketplace
* Promoting listed products
* Marketing IdaGrow
* Advertising on social media and other platforms
This license ends when content is removed from the marketplace, except where previously used in marketing materials.
## 10. Prohibited Products
Sellers may not list products that:
* Violate copyright, trademark, or patent laws.
* Are counterfeit or fraudulent.
* Are illegal under applicable law.
* Promote hate, violence, or discrimination.
* Contain deceptive or misleading claims.
* Infringe upon another person's intellectual property.
IdaGROW may remove prohibited listings without prior notice.
## 11. Account Suspension or Termination
IdaGROW reserves the right to suspend or terminate seller accounts for reasons including, but not limited to:
* Fraudulent activity
* Misrepresentation
* Repeated customer complaints
* Failure to fulfill orders
* Violation of this Agreement
* Conduct that damages the reputation of idaGROW or its community
## 12. Independent Business Relationship
Sellers are independent businesses.
Nothing in this Agreement creates an employment, partnership, franchise, joint venture, or agency relationship between IdaGrow and any seller.
## 13. Taxes & Legal Compliance
Sellers are responsible for complying with all applicable tax laws, licensing requirements, and business regulations relating to their products and sales.
## 14. Limitation of Liability
IdaGROW provides the marketplace platform but does not manufacture, inspect, or guarantee products offered by independent sellers.
To the fullest extent permitted by law, idaGROW shall not be liable for damages arising from transactions between buyers and sellers.
## 15. Changes to this Agreement
IdaGROW may update this Seller Agreement periodically. Continued use of the marketplace following updates constitutes acceptance of the revised Agreement.
